1. Agreement to Terms

By accessing or using Preludio ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Preludio is a conversational planning tool that helps users create structured planning documents through AI-assisted conversations. The Service is provided "as is" and may change as we develop new features.

3. Accounts

When you create an account, you must provide accurate and complete information. You are responsible for maintaining the security of your account and password. Preludio cannot and will not be liable for any loss or damage from your failure to maintain account security.

4. Payments and Refunds

Subscriptions

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring basis according to your selected plan.

Founder Tier

The Founder tier is a one-time payment for lifetime access. Founder tier purchases are non-refundable.

Beta Deposits

Beta deposits are fully refundable until beta access is granted. Once beta access is provided, the deposit is non-refundable.

Subscription Refunds

Monthly subscriptions are eligible for a 14-day money-back guarantee from the start of each billing period. To request a refund, contact us at hello@preludio.io.

5. Your Content

You retain ownership of any content you create using the Service, including planning documents, notes, and other materials. We do not claim any ownership rights to your content.

By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service to you.

6. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe on the rights of others
• Transmit malicious code or attempt to interfere with the Service
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to generate spam or unsolicited communications
• Resell or redistribute the Service without permission

7. AI-Generated Content

The Service uses artificial intelligence to assist with planning. AI-generated suggestions and content are provided for your consideration and should be reviewed before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

8. Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time. For significant changes, we will provide reasonable notice when possible.

9. Limitation of Liability

To the maximum extent permitted by law, Preludio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

12. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your account for violations of these Terms. Upon termination, you may export your content. We will delete your data according to our Privacy Policy.

13. Governing Law

These Terms shall be governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law provisions.
